1. Introduction

These Terms of Service govern your access to and use of the Prola Group website, services, content, files, and deliverables.

By accessing our website, contacting us, booking a call, requesting a quote, submitting a form, or purchasing services from Prola Group, you agree to these Terms.

If you do not agree, please do not use our website or services.

2. About Prola Group

Prola Group is a digital jewelry design studio providing creative, technical, and visual services for jewelry brands, retailers, and manufacturers worldwide.

Our services may include:

  • CAD jewelry design
  • technical design adjustments
  • 3D rendering
  • product animation
  • concept development
  • collection development support
  • AI-assisted imagery
  • design consulting
  • technical production files

Unless expressly agreed in writing, Prola does not provide manufacturing services and does not act as the client’s manufacturer, casting house, setter, or production workshop.

3. Website Use

You agree not to:

  • copy, republish, or distribute website content without written permission
  • use the website for unlawful, fraudulent, misleading, or abusive purposes
  • attempt unauthorized access to systems, servers, or accounts
  • upload malicious code, bots, or harmful software
  • interfere with website functionality or security

We may suspend or restrict access if misuse occurs.

4. Quotes, Proposals, and Scope

Any quote, estimate, or proposal is based on the information available at the time it is issued.

If the project brief changes, Prola may revise the price, timeline, deliverables, and scope.

Examples of scope changes include:

  • changing the core design concept
  • changing stone sizes or layouts
  • changing dimensions or structure
  • requesting additional render angles or assets
  • requesting new file types
  • requesting manufacturing troubleshooting outside the original scope

5. Payment Terms

Unless otherwise agreed in writing, services are prepaid.

We may offer services through:

  • project-based pricing
  • prepaid packages
  • prepaid design units
  • monthly retainers
  • hourly consulting

Work may begin only after payment is received and required project information is provided.

We reserve the right to pause work, delay delivery, or withhold final files if invoices remain unpaid.

The client is responsible for applicable bank fees, transfer fees, processing fees, taxes, duties, and currency conversion costs unless otherwise agreed.

6. Revisions

Each project includes only the revisions stated in the proposal, package, invoice, or service description.

Minor revisions are usually small changes that do not alter the design direction.

Major revisions may include:

  • redesigning the concept
  • changing stone layout
  • changing dimensions substantially
  • modifying structural elements
  • adapting the design to a new production method

Major revisions may require additional charges and additional time.

7. Timelines

Any delivery date provided by Prola is an estimate unless specifically confirmed as fixed in writing.

Delivery may be affected by:

  • project complexity
  • revision rounds
  • client response time
  • file access delays
  • queue volume
  • technical or third-party service issues

If the client delays approvals, feedback, payments, or required information, Prola may revise the schedule.

8. Deliverables

Deliverables may include one or more of the following:

  • 3DM files
  • STL files
  • render images
  • MP4 animations
  • GLB or USDZ files
  • visual references
  • technical notes

Unless expressly included, source files, editable layered files, internal working files, unused concepts, alternate versions, and internal production materials are not included.

Final deliverables are generally released after full payment is received.

9. Intellectual Property

Until full payment is received, all concepts, drafts, visuals, CAD files, and related materials remain the property of Prola.

After full payment, the client receives the right to use the final approved deliverables for the client’s internal business, marketing, and manufacturing purposes, unless otherwise agreed in writing.

Prola retains ownership of:

  • unused concepts
  • rejected options
  • internal methods and workflows
  • templates and systems
  • internal prompts, processes, and know-how

Unless confidentiality is requested in writing, Prola may display completed work in portfolios, case studies, presentations, proposals, and marketing materials.

10. AI-Assisted Services

Some services may include AI-assisted tools for concept development, image generation, editing, enhancement, or production support.

Where AI-generated visuals are provided, they are generally intended for concept, marketing, or communication purposes unless otherwise agreed.

AI outputs may not reflect exact manufacturing realities and should not be used as the sole basis for production decisions.

11. Manufacturing Disclaimer

Prola provides digital design services only and does not control the client’s manufacturer, casting house, workshop, setter, printer, supplier, or production process.

We do not guarantee:

  • casting success
  • stone setting success
  • exact weights or production costs
  • manufacturability in every workshop
  • production yield
  • mass-production consistency
  • commercial performance

The client is responsible for validating all files, conducting tests, and confirming production suitability before manufacturing.

12. Third-Party Services

We may use third-party providers for hosting, analytics, scheduling, storage, file sharing, communication, payments, security, and other business operations.

We are not responsible for outages, failures, delays, or limitations caused by third-party providers.

13. Professional Conduct

Clients agree to communicate respectfully and professionally.

We may suspend or terminate services for abusive conduct, fraud, repeated non-payment, unlawful use, harassment, or unreasonable behavior that prevents a workable collaboration.

14. Limitation of Liability

To the maximum extent permitted by law, Prola’s total liability shall not exceed the amount actually paid for the specific service giving rise to the claim.

Prola shall not be liable for:

  • indirect or consequential loss
  • lost profits or revenue
  • lost opportunities
  • production losses
  • manufacturer or supplier errors
  • reputational harm
  • misuse of deliverables after delivery

15. Indemnity

The client agrees to indemnify and hold Prola harmless against claims, losses, or expenses arising from:

  • client-provided content or specifications
  • infringement caused by client instructions
  • manufacturing use of deliverables
  • unlawful or misleading use of our work

16. Termination

Either party may stop a project by written notice.

If a project is terminated:

  • work completed up to that point becomes billable
  • any remaining balance may be converted to credit or partially refunded at Prola’s discretion
  • usage rights do not transfer until all outstanding amounts are paid

17. Chargebacks

Before initiating a chargeback, the client agrees to contact Prola in good faith to attempt resolution.

A chargeback filed without prior good-faith resolution efforts may be treated as a breach of these Terms.

We reserve the right to suspend services, revoke usage rights pending resolution, and pursue recovery of unpaid amounts.

18. Changes to These Terms

We may update these Terms from time to time. The latest version will be published on our website.

Continued use of our website or services after an update means you accept the revised Terms.
